Terms of Service

Effective date: [EFFECTIVE DATE — TODO]

These Terms of Service ("Terms") govern your access to and use of StacklySuite, operated by Stackly Suite LLC ("StacklySuite", "we", "us", or "our"). By creating an account or using the service, you agree to these Terms.

1. Agreement to these terms

By accessing or using StacklySuite (the "Service"), you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not use the Service.

2. The service

StacklySuite is a modular suite of business tools offered on an à la carte basis. You may subscribe to individual tools, add or remove tools over time, and your pricing may reflect discounts that vary with the number of active tools. Specific features, tools, and pricing are described in the app and may change over time.

3. Accounts and eligibility

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must be at least the age of majority in your jurisdiction and legally able to enter into these Terms.

4. Subscriptions, billing, and taxes

Paid tools are billed on a recurring basis through our payment processor. By subscribing, you authorize us and our payment processor to charge your payment method for the applicable fees, including any taxes, until you cancel. Fees are described at the point of purchase.

Unless stated otherwise, fees are non-refundable except as required by law. Changes to your selected tools may adjust your charges, with proration applied automatically where applicable. [TODO: confirm refund, proration, and renewal specifics with counsel.]

5. Free trials

We may offer free trials. Unless you cancel before the trial ends, the trial may convert to a paid subscription at the then-current rate. Trial terms are described when the trial is offered.

6. Acceptable use

You agree not to use the Service to:

  • break the law or infringe the rights of others;
  • upload malware, attempt to gain unauthorized access, or disrupt the Service;
  • reverse engineer, resell, or misuse the Service except as permitted by these Terms;
  • send unlawful, harassing, or deceptive communications.

7. Your data and content

You retain ownership of the data and content you submit to the Service. You grant us a limited license to host, process, and display that content solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.

8. Third-party services

The Service integrates with third-party providers (for example, for authentication, payments, and email delivery). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

9. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by Stackly Suite LLC or its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in our trademarks or branding.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. [TODO: finalize warranty disclaimers with counsel.]

11. Limitation of liability

To the maximum extent permitted by law, Stackly Suite LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. [TODO: finalize liability caps and exclusions with counsel.]

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Certain provisions survive termination, including ownership, disclaimers, and limitations of liability.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of United States of America (Texas), without regard to conflict-of-laws principles. [TODO: confirm governing law and any dispute-resolution or arbitration terms with counsel.]
